TERMS OF SERVICE

1. GENERAL PROVISIONS

1.1. By using the website yester.eu and related platform or services of Yester OÜ (hereinafter Yester), the Client confirms that they have read and agree to these Terms of Use (hereinafter the Terms).

1.2. The Terms are an integral part of the Service Agreement (hereinafter the Agreement) concluded between the Client and Yester. In case of any conflict between the Terms and the Agreement, the provisions agreed upon in the Agreement shall prevail.

1.3. All intellectual property rights related to the Yester platform, Software, design, and documentation belong to Yester OÜ or its licensors.

2. USE OF THE SERVICE AND CLIENT’S OBLIGATIONS

2.1. The Client undertakes to use the Service only for lawful purposes, in accordance with the applicable laws of the Republic of Estonia and these Terms.

2.2. The Client is responsible for the accuracy and timeliness of the data entered or managed in the Service. Yester OÜ is not liable for damages resulting from the entry of inaccurate or incomplete data by the Client.

2.3. The Client undertakes to keep login data confidential. If there is reason to believe that the login data has fallen into the hands of third parties, Yester OÜ must be immediately notified.

2.4. If the Service is used contrary to these Terms, Yester has the right to restrict or suspend access to the platform.

3. PRICELIST AND INVOICING

3.1. The Fee for using the Service is specified in the Agreement (including Annex 1 Price Offer) concluded between the Client and Yester.

3.2. The Licensee (Client) undertakes to pay the Fee to the Licensor (Yester) within 14 days from the issuance of the respective invoice by the Licensor.

3.3. If the Client has delayed payment of the Fee for more than 1 calendar month, Yester has the right to terminate the Agreement.

3.4. For unpaid amounts by the due date, Yester has the right to demand default interest of 0.05% for each calendar day the payment is delayed. 3.5. Yester reserves the right to change the Software license fee, notifying the Licensee of the possible change in fee at least 30 calendar days in advance.

4. SERVICE AVAILABILITY AND LIMITATION OF LIABILITY

4.1. Yester makes all reasonable efforts to ensure the continuous operation and security of the Service.

4.2. The Yester platform is available within one month in 99.5% of cases, excluding maintenance times, which may occur between Saturday 9:00 and Sunday 17:00.

4.3. Yester’s maximum financial liability for all claims arising from the Agreement, regardless of the basis, shall not exceed the fee actually paid by the Client to the Licensor for the Licenses under the Agreement during the last six (6) calendar months preceding the event giving rise to the claim. Yester is not responsible for incidental, indirect, or punitive damages.

5. AMENDMENT AND TERMINATION OF THE AGREEMENT

5.1. Yester may update the Terms. Clients shall be notified of material changes via email or the website at least 30 days before they take effect.

5.2. Agreement Termination Notice Period (Consistent with Agreement): Either Party may terminate the Service Agreement at any time by giving the other Party at least 4 calendar months' written notice. In case of material breach of the Agreement (for example, non-payment of the Fee for one month), a party may terminate the Agreement immediately.

5.3. Data Retention after Termination (Consistent with Agreement): Upon termination or expiration of the Agreement, Yester shall retain the collected data for 3 months free of charge (Retention Period). After the Retention Period, Yester shall permanently delete the collected data. Retention of data for up to 6 months is possible for a fee, provided the Client submits a request to that effect before the termination or expiration of the Agreement.

6. PRIVACY AND DATA PROTECTION

6.1. Your privacy is important to us. Please read Yester's Privacy Policy before using our Services.

6.2. When processing personal data, Yester acts either as a data controller (e.g., for contact data collected on the website) or as an authorised processor (e.g., for processing client employee data within the scope of the Agreement).

7. DISPUTE RESOLUTION

7.1. Disputes shall be resolved in accordance with the laws of the Republic of Estonia.

7.2. Disagreements and disputes arising from the performance, interpretation, amendment, or termination of the Agreement shall be resolved by the Parties through negotiations based on mutual understanding. If an agreement is not reached, the dispute shall be resolved in Harju County Court.
